Board Meeting to Amend Bylaws

NOTICE THAT THE HUMANE SOCIETY OF COTTAGE GROVE

WILL BE VOTING TO AMEND ITS ARTICLES AND BYLAWS

When the Humane Society of Cottage Grove was originally established long ago in 1986, thirty seven (37) years ago, it was incorporated as the “Animal Lovers Care Unit of Cottage Grove.” It began as a very small organization with voting members who were legally required to meet once a year to elect the Board of Directors. The practice of having voting members meet and elect the Board of Directors ceased long ago, and in recent decades the Board of Directors has elected its own Board members. This is by far the most common manner used by charitable, 501(c)(3) organizations like the Humane Society of Cottage Grove, to elect their Board of Directors. Now, our organization has hundreds of valuable and supportive members, but they are not “voting members” as that is legally defined by Oregon State law. The Humane Society of Cottage Grove has not had any voting members or held any meetings of voting members, in many years now. Accordingly, as a matter of good organizational house-keeping, the Board of Directors is going to vote to amend the Articles of Incorporation and the Bylaws to formally acknowledge that it is the Board of Directors itself who elects the Board’s members, and that there are no longer any voting members of the organization. Prior to the Board’s voting on that amendment to the Articles of Incorporation and the Bylaws, we are giving this 30 day notice that this vote will take place.
